1. Acceptance of Terms
Please read these terms and conditions carefully. By ordering, collecting, using, or agreeing to the installation of any Goods or Services, the Client confirms they have read, understood, and agreed to be bound by these Terms. The Company (Standify) reserves the right to revise and update these Terms at its sole discretion. Any changes will take immediate effect from the date of publication. We recommend that the Client retains a copy of the Terms for their records.
2. Definitions
- “Client” means the person or company receiving Goods and/or Services from the Company, including their employees, contractors, agents, successors, and assigns.
- “Company” refers to Standify.
- “Services” means all services provided by the Company, including but not limited to the design, project management, and construction of stands, exhibitions, and events.
- “Goods” refers to all items, products, or materials provided or prepared by the Company for the Client.
- “Company’s Equipment” means any equipment, vehicles, or materials used by the Company in delivering the Services.
3. Client’s Obligations
The Client shall:
- Grant the Company a non-exclusive, royalty-free licence to use any logos, trademarks, content, or other intellectual property as required to deliver the Services.
- Provide timely and accurate information, documentation, and reasonable assistance.
- Be responsible for the proper use, security, and return of the Company’s Equipment and Goods. The Client shall be liable for any damage, loss, or theft while these items are on the Client’s premises or in their control.
4. Acceptance
The Client is deemed to have accepted these Terms by proceeding with the order, use, delivery, or installation of any Goods or Services provided by the Company.
5. User Representations (Website Use)
By using the Site, you confirm that:
- All information provided during signup is accurate, current, and complete.
- You will keep this information updated.
- You have the legal capacity to enter into this agreement.
- You are not a minor in your jurisdiction.
- You will not use bots or automated tools to access the Site.
- You will not use the Site for illegal or unauthorised purposes.
- Your use of the Site complies with all applicable laws and regulations.
If any information is found to be false, outdated, or incomplete, the Company may suspend or terminate your access to the Site.
6. Delivery
Freight costs are included in the quotation unless otherwise stated. The Company reserves the right to adjust freight charges if changes to delivery arrangements occur. The Client authorises the Company to select the method of transportation, handling, and storage of Goods. In the event of unforeseen freight issues, the Company will notify the Client as soon as reasonably possible.
7. User Data
We retain certain data submitted to the Site to improve performance and user experience. While we conduct regular data backups, the Client is solely responsible for the integrity of their data. The Company shall not be held liable for any loss, corruption, or deletion of such data.
8. Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, or consequential damages arising from the use of Goods or Services. The Company’s total liability for any claim shall not exceed the amount paid by the Client for the specific Goods or Services in question.
9. Intellectual Property
All intellectual property developed or provided by the Company during the provision of Services remains the property of the Company unless otherwise agreed in writing.
10. Termination
The Company reserves the right to terminate the agreement with immediate effect if the Client breaches these Terms or engages in unlawful conduct.
11. Force Majeure
The Company is not liable for any delay or failure in performance caused by events beyond its reasonable control, including natural disasters, strikes, or transport disruptions.
12. Governing Law
These Terms are governed by the laws of the UK. Any disputes arising from them shall be subject to the exclusive jurisdiction of the courts of England.
